Terms of use

  1. General Provisions

    1.1. These Terms of Use (“Terms”) govern access to and use of the priormedical.eu website and its language versions (including /ru, /en, /fi, /ee) operated by PriorMedical (the “Company,” “we,” “us,” “our”).
    1.2. By using the Site, you confirm that you have read and accept these Terms. If you do not agree, please do not use the Site.
    1.3. The Site is intended for adult users (18+) and primarily for industry professionals (clinics, aesthetic physicians, dermatologists, licensed nurses/estheticians, etc.).

    Professional Products and Restrictions

    2.1. Certain products (including injectable products and medical devices) are for professional use only, may require licenses/documents, and are not intended for household/home use.
    2.2. We may request supporting documents and refuse to accept/fulfil an order in their absence or where they do not meet the legal requirements of your country.
    2.3. Information on the Site is for reference only and does not constitute medical advice. Prescription and use are the responsibility of an authorized professional in accordance with local protocols and the manufacturer’s instructions.

    Registration and Account

    3.1. When creating an account, you agree to provide accurate data, keep your login/password confidential, and promptly notify us of any unauthorized access.
    3.2. The Company may suspend or delete an account for violations of the Terms or legal requirements.

    Orders, Pricing, Payment

    4.1. Product listings on the Site do not constitute a public offer. An order is deemed accepted after our confirmation (e-mail/account) and/or invoice issuance.
    4.2. Prices are in EUR and may change without prior notice. Any applicable VAT and other charges will be specified on the invoice.
    4.3. Payments are processed by integrated providers (e.g., Stripe/PayPal/SEPA bank transfer). We do not store card data on our servers. Providers may perform 3-D Secure/SCA.
    4.4. We reserve the right to partially/fully cancel an order (with a refund of paid amounts) if the product is unavailable, there are pricing/description errors, professional-dispensing conditions are breached, or other lawful grounds apply.

    Delivery, Acceptance, and Risk

    5.1. Delivery is available across European countries via available carriers (e.g., DHL/DPD/Omniva, etc.). Timeframes are indicative and depend on the carrier and address.
    5.2. Risk of accidental loss/damage passes upon handover to the carrier, unless otherwise stated in the invoice/contract.
    5.3. Upon receipt, you must inspect the parcel. In case of damage/shortages, draw up a report with the carrier and notify us within a reasonable period (generally 24–48 hours).

    Returns and Exchanges

    6.1. For B2B supplies, the unilateral right of withdrawal (“cooling-off”) generally does not apply.
    6.2. Returns/exchanges are possible only by prior agreement and within applicable law, provided the product condition and seals are preserved.
    6.3. Temperature-controlled goods, sterile items, and opened pharma/medical packaging are not eligible for return, except in cases of confirmed defect/incorrect shipment.
    6.4. The procedure and deadlines for claims are specified in our correspondence/invoice and depend on the product category.

    Prohibited Activities

    7.1. It is prohibited to use the Site unlawfully; distribute malicious code; attempt unauthorized access; copy content and databases without permission; circumvent technical protection measures; or publish false information.
    7.2. Unauthorized export/re-export of goods to restricted countries and use not in accordance with their intended purpose are prohibited.

    Intellectual Property

    8.1. Site content (texts, design, logos, images, videos, databases, software code) is protected by intellectual property laws and belongs to the Company or rights holders under license.
    8.2. Any copying/distribution without prior written consent is prohibited, except where expressly permitted by law (e.g., quotation with source attribution).

    User Content (Reviews/Requests)

    9.1. By submitting materials (review texts, messages), you confirm the legality of their submission and grant the Company a non-exclusive, worldwide license to use them for Site operation and communications.
    9.2. We may moderate/remove materials that violate the Terms or the law.

    Disclaimer of Warranties and Limitation of Liability

    10.1. The Site is provided “as is.” We do not guarantee error-free operation, uninterrupted availability, or compatibility with your equipment/software.
    10.2. To the maximum extent permitted by law, the Company is not liable for indirect/consequential losses, lost profits, loss of data or business reputation arising from use or inability to use the Site/materials.
    10.3. Nothing in these Terms excludes liability that cannot be excluded by law (e.g., willful misconduct, gross negligence, or cases expressly provided by mandatory norms).
    10.4. Responsibility for proper medical use, indication selection, and protocol compliance lies with the authorized specialist. The manufacturer/importer is liable within the framework of product safety/quality laws.

    Governing Law and Disputes

    13.1. These Terms are governed by the laws of the Republic of Estonia, taking into account EU law.
    13.2. Disputes shall preferably be settled by negotiation. Failing agreement, they are subject to the competent courts at the Company’s registered location (Tallinn, Estonia), unless mandatory norms require otherwise.

    Language Versions

    14.1. The Terms may be available in several languages. In case of discrepancy, the English version (if published) prevails, followed by the version in the language of the governing jurisdiction.

    Changes to the Terms

    15.1. We may update these Terms. The new version takes effect upon publication on the Site unless stated otherwise. Continued use of the Site constitutes acceptance of the updated version.
